ShopSentry — Terms of Service
These Terms of Service ("Terms") govern your access to and use of ShopSentry ("Service"), operated by Sonder Digital Pty Ltd ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Service" means the ShopSentry platform, including the free store audit scanner, paid monitoring product, website, documentation, APIs, and all related services.
- "Store" means a Shopify storefront connected to or scanned by the Service.
- "User," "you," or "your" means any individual or entity that accesses or uses the Service.
- "Account" means your registered ShopSentry account.
- "Subscription" means a paid plan providing ongoing monitoring and alerting capabilities.
- "Scanner" means the free store audit tool that analyses a publicly accessible Shopify store URL without requiring installation.
- "Monitoring Data" means data collected by the Service about your Store's performance, errors, uptime, and related metrics.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3. Account Registration
3.1. To access paid features, you must install the ShopSentry app from the Shopify App Store and authenticate via Shopify OAuth. Your ShopSentry Account is linked to your Shopify account.
3.2. You are responsible for maintaining the security of your Shopify account credentials. Any activity occurring through your connected Store is your responsibility.
3.3. You must promptly notify us of any unauthorised access to your Account.
4. Service Description
4.1. Free Store Audit Scanner
The Scanner analyses publicly accessible information from a Shopify store URL you provide. The Scanner checks may include Core Web Vitals, script and code analysis, broken links, image optimisation, meta tags, redirect chains, and accessibility indicators. Scanner results include estimated revenue impact ranges based on industry research and are provided for informational purposes only. We do not guarantee the accuracy of revenue estimates.
4.2. Paid Monitoring Service
The paid Service monitors connected Shopify stores for revenue-threatening issues including but not limited to: site errors, checkout and cart funnel failures, performance degradation, app and script errors, and Google Shopping feed health. The Service delivers alerts via email, Slack, and SMS based on your configured notification preferences.
4.3. Shopify Integration
The paid Service requires installation as a Shopify app and uses Shopify's OAuth authentication. By installing the app, you authorise ShopSentry to access your Store data as required to provide the monitoring service. Your use of Shopify is governed separately by Shopify's terms of service.
5. Subscriptions and Billing
5.1. Plans and Pricing
The Service is offered as a single subscription plan, billed either monthly or annually. Current pricing is displayed on our website. Annual subscriptions are billed in advance at a discounted rate as advertised at the time of purchase. Agency arrangements are governed by separate terms made available to qualifying agencies. We reserve the right to change pricing with 30 days' written notice to existing subscribers.
5.2. Billing Processor
Subscription fees are processed by Stripe, Inc. ("Stripe"), our third-party payment processor. By subscribing, you authorise us and Stripe to charge your designated payment method on a recurring basis for the applicable subscription fees. Your payment information is provided directly to Stripe and is subject to Stripe's terms of service and privacy policy. We do not store your full payment card details on our systems.
5.3. Billing Cycle
Subscriptions are billed monthly or annually in advance. Annual subscriptions receive a discount as advertised at the time of purchase. Your subscription will automatically renew at the end of each billing period unless cancelled in accordance with Section 16.
5.4. Failed Payments and Suspension
If a payment fails, Stripe will attempt to re-process the payment in accordance with its standard retry logic. If payment cannot be collected after reasonable retry attempts, we may suspend your access to paid features. Monitoring will cease during any suspension period.
5.5. Refunds
Except as required by applicable law or as expressly stated in our Detection Guarantee (Section 5.6), subscription fees are non-refundable. Approved refunds are processed by Stripe and issued to your original payment method.
5.6. Detection Guarantee
If ShopSentry fails to detect and alert on a monitored issue within one (1) hour of its occurrence, the affected subscriber is entitled to (a) a full refund of the subscription fee for the calendar month in which the failure occurred, and (b) twelve (12) months of complimentary subscription credit applied from the date the claim is approved.
The Detection Guarantee applies only to issues falling within ShopSentry's defined monitoring surface as documented on our website at the time of the incident. Issues outside that surface are not covered, including but not limited to: platform outages of Shopify, Google, Meta, or other third-party services; issues introduced by the merchant or third-party apps during the incident window; categories not enumerated in our published monitoring scope; and issues affecting Stores not actively connected and configured for monitoring at the time of the incident.
To claim under this guarantee, contact us at support@shopsentry.io within thirty (30) days of the incident, providing the date, time, and nature of the issue. We will verify the claim against our monitoring records. Where the claim is upheld, the refund and credit will be issued within fourteen (14) days.
5.7. Taxes
Subscription fees are exclusive of applicable taxes unless otherwise stated. Where required, taxes will be calculated and collected by Stripe based on your billing address. You are responsible for any applicable taxes arising from your subscription.
5.8. Plan Changes
You may upgrade or downgrade your subscription plan at any time. Changes take effect at the start of your next billing cycle unless otherwise specified. Upgrades may be prorated.
6. Free Trial
6.1. We may offer a free trial period for new subscribers. The duration and terms of any free trial will be specified at the time of sign-up.
6.2. At the end of a free trial, your Subscription will automatically convert to a paid plan at the applicable rate unless you cancel before the trial period ends.
6.3. We reserve the right to modify or discontinue free trial offers at any time.
7. Agency Accounts
7.1. Agency plan subscribers may connect and monitor Stores on behalf of their clients. The Agency subscriber is responsible for ensuring they have appropriate authorisation from each Store owner to install and use the Service.
7.2. Agency subscribers are the contracting party with ShopSentry. We have no direct relationship with the Agency subscriber's clients unless those clients separately create their own Accounts.
8. Acceptable Use
You agree not to:
- Use the Service to monitor Stores you do not own or have authorisation to monitor.
- Attempt to reverse-engineer, decompile, or disassemble the Service or any component thereof.
- Use the Service to interfere with, disrupt, or place undue burden on any Shopify store, third-party service, or our infrastructure.
- Resell, sublicense, or redistribute access to the Service except as expressly permitted under an Agency plan.
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Transmit any malicious code, viruses, or harmful data through the Service.
- Use automated means (bots, scrapers, etc.) to access the Service beyond its intended functionality.
- Misrepresent your identity or affiliation when using the Service.
9. Intellectual Property
9.1. The Service, including its software, design, brand, documentation, and all related intellectual property, is and remains our exclusive property.
9.2. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms for the duration of your Subscription or use of the Scanner.
9.3. You retain ownership of your Store data. You grant us a limited licence to access, process, and store your Store data solely as necessary to provide and improve the Service.
9.4. Monitoring Data generated by the Service (such as performance scores, error logs, and alert history) is owned by us but licensed to you for your use during your active Subscription.
10. Data and Privacy
10.1. Our collection, use, and handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
10.2. We access your Shopify Store data only to the extent necessary to provide the Service. We do not sell your Store data to third parties.
10.3. The Scanner analyses only publicly accessible information. No Shopify authentication or Store data access is required for the Scanner.
10.4. You are responsible for ensuring that your use of the Service complies with any privacy laws applicable to your business, including providing appropriate notices to your customers where required.
11. Third-Party Services
11.1. The Service integrates with third-party platforms including Shopify, Slack, and email/SMS providers. Your use of those platforms is subject to their respective terms of service.
11.2. We are not responsible for the availability, accuracy, or conduct of any third-party service. Changes to third-party APIs or platforms may affect Service functionality.
11.3. Alerts delivered via third-party channels (Slack, SMS, email) are subject to the reliability and delivery capabilities of those channels. We do not guarantee delivery of alerts through third-party services.
12. Service Availability and Support
12.1. We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
12.2. Scheduled maintenance will be communicated in advance where practicable.
12.3. Support is provided via email. Response times may vary based on your subscription tier.
13. Disclaimer of Warranties
13.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13.2. We do not warrant that the Service will detect all issues affecting your Store, that alerts will be delivered without delay, or that revenue impact estimates are accurate.
13.3. The Service is a monitoring and alerting tool. It does not modify your Store, process transactions, handle customer data on your behalf, or directly affect your Store's operations.
13.4. We are not responsible for any losses arising from issues the Service fails to detect, delayed alerts, or actions you take or fail to take based on information provided by the Service.
14. Limitation of Liability
14.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
14.2. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14.3. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. Indemnification
You agree to indemnify, defend, and hold harmless ShopSentry and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your infringement of any third party's rights.
- Actions taken by you based on information, alerts, or data provided by the Service.
16. Termination
16.1. Termination by You
You may cancel your Subscription at any time by contacting us at support@shopsentry.io. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of that period.
16.2. Termination by Us
We may suspend or terminate your access to the Service at any time if:
- You breach these Terms.
- Your Shopify account is suspended or terminated.
- We are required to do so by law.
- We discontinue the Service (with reasonable notice).
16.3. Effect of Termination
Upon termination, your right to use the Service ceases immediately (or at the end of your billing period for voluntary cancellations). We may delete your Monitoring Data 30 days after termination. You may request an export of your data prior to termination.
16.4. Survival
Sections relating to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law survive termination of these Terms.
17. Modifications to the Service
17.1. We reserve the right to modify, update, or discontinue any aspect of the Service at any time. We will use reasonable efforts to notify you of material changes.
17.2. Continued use of the Service after changes constitutes acceptance of the modified Service.
18. Modifications to These Terms
18.1. We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before they take effect.
18.2. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and cancel your Subscription.
19. Governing Law and Dispute Resolution
19.1. These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict of law principles.
19.2. Any disputes arising out of or relating to these Terms shall be resolved in the courts of the State of Victoria, Australia.
19.3. Before initiating any formal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at support@shopsentry.io.
20. General Provisions
20.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ShopSentry regarding the Service.
20.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
20.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
20.4. Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
20.5. Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or third-party platform outages.
20.6. Notices. Notices to you may be sent via email to the address associated with your Shopify account or displayed within the Service. Notices to us should be sent to support@shopsentry.io.
